Bharat Petroleum Corporation Limited (BPCL) has obtained board approval for a Rs 5,000 crore fundraising programme through the issuance of non-convertible debentures, marking a significant move to bolster the state-run energy company's capital resources.
The approved fundraising ceiling will enable BPCL to issue NCDs in multiple tranches, with specific details to be determined for each series based on market conditions and company requirements. The specifics of allotment, pricing, and other terms will be disclosed to the stock exchange in the prescribed format at the time each series is launched, ensuring transparency with the market and investors.
Non-convertible debentures represent a debt instrument that cannot be converted into equity shares, providing investors with fixed returns while enabling companies like BPCL to access capital markets without diluting existing shareholding. This fundraising approach is commonly utilised by large corporates to finance operational expansion, infrastructure development, or debt repayment.
For BPCL, the Rs 5,000 crore facility comes as the refining and marketing company continues to navigate the energy transition while maintaining its core operations across fuel distribution, lubricants, and petrochemical segments across India.
