CareEdge Ratings announced on Monday that it has agreed to divest a 19.8 per cent equity stake in its wholly-owned subsidiary CareEdge Global IFSC Ltd to two major financial institutions. State Bank of India and NSE IFSC will each acquire a 9.9 per cent equity stake in the IFSC-registered entity, according to regulatory filings by the company.
The rating agency has executed both share purchase agreements and shareholders' agreements with SBI and NSE IFSC to formalise the transaction. The dual investment underscores the strategic importance of CareEdge Global IFSC's operations within India's International Financial Services Centre framework.
Following completion of the share transfer, CareEdge Ratings will retain an 80.2 per cent controlling stake in the subsidiary. This structure ensures the parent company maintains operational control while bringing on established financial sector partners as minority shareholders.
The transaction is slated for completion within two months, subject to regulatory approvals and customary closing conditions. The investment from SBI and NSE IFSC is expected to strengthen the subsidiary's market position and enhance its capabilities in providing rating services to international clients.
