Alka Mundra has resigned as an independent director of Indian Oil Corporation (IOC), citing governance concerns over her son's petrol pump dealership with the company. In a September 18 letter to the Ministry of Petroleum and Natural Gas, disclosed through a stock exchange filing, Mundra stated that the business arrangement conflicts with independence criteria under the Securities and Exchange Board of India's Listing Obligations and Disclosure Requirements (LODR) Regulations.

Mundra's son, Madhav Mundra, has operated the Swarn Ganga KSK retail outlet, an IOC-branded petrol pump in Udaipur, Rajasthan, since 2020. The independent director noted that while her son manages the business without her involvement, the pecuniary relationship between her family and IOC creates an apparent breach of independence standards required for board members under stock market listing rules.

In her resignation communication, Mundra emphasised that she was confident her objectivity would remain unaffected by the family business interest. However, she concluded that maintaining the highest standards of corporate governance made it inappropriate for her to continue in the role. Her departure comes barely a month after she joined the IOC board, highlighting potential gaps in the disclosure and vetting process for independent directors at state-run enterprises.

The resignation underscores growing scrutiny of governance practices at India's largest oil corporation as regulators and investors focus on strengthening board independence and preventing conflicts of interest.
