The Mumbai bench of the National Company Law Tribunal (NCLT) pronounced its order on October 23, striking down a series of corporate actions by JLS Realty Pvt Ltd that the tribunal found to be fundamentally flawed. The ruling invalidated the transfer of a significant redevelopment property in Mumbai to Spenta Suncity, as well as a mortgage and corporate guarantee linked to Rs 525 crore in financing involving IIFL Finance Ltd.
The tribunal's two-member bench, led by Judicial Member K R Saji Kumar and Technical Member Anil Raj Chellan, also reversed the appointment of two IIFL-linked employees as company directors, declared illegal the attempted removal of an existing director, and reversed disputed share transfers. The court ordered the restoration of the company's land and the reversal of related financial commitments.
The bench concluded that the sequence of events constituted a "deliberate design" indicative of oppression, marked by "lack of probity and fair dealing" in the company's management and governance. The tribunal's decision effectively unwound transactions that it determined were carried out without proper authority or regard for shareholder interests.
The ruling culminates a five-year legal battle initiated by Moniveda Consultants LLP and Rajat Jhunjhunwala against Shajas Developers, JLS Realty, and other respondents, addressing concerns over corporate mismanagement and minority shareholder oppression.
