The Bengaluru-based fintech company has secured regulatory approval to launch its initial public offering. The IPO will comprise a fresh issue of equity shares along with promoter stake sales.

Online Instruments (India) Ltd has received approval from the Securities and Exchange Board of India (Sebi) to proceed with its inaugural public offering, according to regulatory filings reviewed on Friday. The company, headquartered in Bengaluru, had submitted its draft prospectus in May before Sebi issued its observations on August 18, 2026—the formal equivalent of regulatory clearance for an IPO.
The maiden public offering will consist of a fresh issue of equity shares valued at ₹750 crore, combined with an offer for sale of up to 57.10 lakh equity shares by promoters Anita Mahesh Bellad and Rajeshwari Shivanand Mahashetti. The company is also considering a pre-IPO placement of up to ₹150 crore, which would proportionally reduce the size of the fresh issue if completed.
Proceeds from the fresh equity issuance will be allocated toward multiple purposes, including ₹160 crore for repayment or prepayment of existing borrowings and ₹330 crore to fund working capital requirements. The remaining funds are expected to support the company's operational expansion and growth initiatives.
