The Reserve Bank of India has granted regulatory approval for Emirates NBD to merge its Indian branches with RBL Bank, marking a significant consolidation in the domestic banking sector. The amalgamation will become effective from December 1, 2026, subject to the completion of stipulated conditions and regulatory requirements.
This development follows Emirates NBD's substantial investment in RBL Bank through a Rs 26,000 crore capital infusion, which secured the UAE-based lender a 60 per cent controlling stake in the Indian institution. The transaction represents one of the largest foreign direct investments in India's private banking space in recent years.
The merger will streamline Emirates NBD's operations in India by consolidating its existing branch network with RBL Bank's established customer base and infrastructure. RBL Bank, which has built a presence across retail and commercial banking segments, will benefit from Emirates NBD's global banking expertise and capital strength.
The amalgamation represents a strategic move for both institutions as they navigate India's increasingly competitive banking landscape. Emirates NBD gains deeper market penetration through RBL Bank's distribution network, while RBL Bank secures access to the international lender's resources and operational capabilities. The combined entity is expected to enhance service offerings to customers across India's growing financial services market.
