Sebi Closes Case Against Max, Axis Entities Over Shareholder Loss Allegations

India's markets regulator has dropped proceedings against Max Financial Services and Axis Group entities over alleged shareholder losses totalling ₹3,911 crore, finding insufficient evidence of disclosure violations or fraudulent conduct.

Sebi Closes Case Against Max, Axis Entities Over Shareholder Loss Allegations

The Securities and Exchange Board of India (Sebi) issued a final order on Monday disposing of cases against seven individuals connected to Max Financial Services and related entities, including Max Group founder and Chairman Analjit Singh. The decision brings an end to proceedings initiated following a Show Cause Notice issued on October 24, 2024, after investigations into transactions between Max and Axis entities spanning 2009-10 to 2021-22.

The case had focused on three sets of arrangements executed in 2010, 2015, and 2020, with allegations that Max Financial Services had failed to make adequate and timely disclosures about these transactions. Sebi had also examined claims that Max Financial, Max Life, and related Axis entities had devised a scheme that provided undue benefits to certain parties, resulting in substantial shareholder losses.

In its order, Sebi found that the alleged disclosure lapses and fraudulent scheme had not been substantiated during the course of the investigation. The regulator determined there was insufficient evidence to establish violations of securities laws in connection with the disputed arrangements. Max Life Insurance Company is now operating as Axis Max Life Insurance following restructuring within the corporate group.
