SEBI Grants Angel Funds Extended Timeline For Accredited Investor Compliance

India's securities regulator has pushed back the implementation deadline for stricter investor qualification norms governing angel investment funds. From April 2027, angel funds will be barred from accepting non-accredited investors for company investments.

The Securities and Exchange Board of India (SEBI) has extended the compliance timeline for angel investment funds to align with new accredited investor mandates, providing additional runway for industry participants to restructure their operations.

Under the revised framework, angel funds will be permitted a grace period before stricter eligibility requirements take effect. From April 1, 2027 onwards, these funds will no longer be permitted to mobilise capital from non-accredited investors for deployment into investee companies, fundamentally altering the investor base they can access.

The extension reflects SEBI's recognition of operational and administrative challenges faced by existing fund structures in transitioning to the new regulatory requirements. Angel funds operating under the previous framework will need to either reconfigure their investor bases or restructure their fund management practices to remain compliant with the mandate.

The accredited investor classification typically encompasses individuals with specified income thresholds, net worth requirements, and investment experience. The move aims to enhance investor protection within the alternative investment space while ensuring that retail participation in higher-risk startup funding is appropriately regulated.

Industry stakeholders now have clarity on the deadline to implement necessary changes to their fund documentation, governance structures, and investor onboarding processes ahead of the April 2027 implementation date.
