Sebi's new settlement framework aims to boost recovery in fund-diversion cases

The Securities and Exchange Board of India (Sebi) has approved a revamped settlement framework designed to enhance recovery outcomes in fund-diversion cases. The new mechanism introduces significant modifications to how settlement amounts are calculated and how wrongful gains are assessed, addressing longstanding concerns about the effectiveness of the existing process.

Under the revised framework, Sebi has broadened access to settlement options while introducing a fast-track route for qualifying cases. The changes reflect the regulator's intent to balance swift case resolution with improved financial recovery for affected investors and market participants.

The settlement amount calculation methodology has been recalibrated to better capture the scale of violations and ensure proportionate penalties. Similarly, the framework provides clearer guidelines on determining wrongful gains—a critical component in cases where entities have improperly diverted funds or misused investor money.

Sebi's move addresses operational challenges that had previously limited the effectiveness of settlements in complex fund-diversion matters. By streamlining procedures and widening eligibility criteria, the regulator aims to encourage more cases to reach settlement while maximizing recovery potential.

The overhaul comes as regulatory authorities across South Asia intensify efforts to strengthen investor protection and improve enforcement outcomes in securities violations.
