Solar Industries to acquire South Africa's Omnia Holdings for $1.36 billion

Solar Industries India Limited has announced plans to acquire all outstanding shares of Johannesburg-listed Omnia Holdings through its indirect wholly-owned subsidiary, Solar SA Investments. The transaction values the South African chemicals and explosives company at $1.36 billion, marking a significant expansion of the Indian firm's international footprint.

The acquisition is conditional upon obtaining necessary regulatory approvals and clearance from Omnia shareholders. Both companies have indicated their commitment to completing the transaction, though final approval timelines remain subject to regulatory scrutiny in South Africa and other relevant jurisdictions.

Omnia Holdings operates across chemicals, explosives, and related sectors in South Africa and internationally. The acquisition would provide Solar Industries with enhanced access to African markets and complement its existing global operations in defence, explosives, and special chemicals.

Solar Industries, based in Nagpur, Maharashtra, is India's leading manufacturer of commercial explosives and supplies products to mining, construction, and defence sectors across multiple continents. The company has pursued strategic acquisitions in recent years to strengthen its market position and geographic reach.

The deal represents one of the larger cross-border acquisitions by an Indian defence and explosives manufacturer into southern Africa, underscoring growing Indian corporate interest in the region.
