Thomas Cook India is on track to complete the demerger of Sterling Holidays by July 2027, following clearances from the Securities and Exchange Board of India and stock exchange regulators, according to company officials. The proposal is currently pending approval from the National Company Law Tribunal, which would allow the two entities to operate independently after the separation.
The demerger forms part of Thomas Cook's strategic realignment to strengthen its core travel and tourism business. The company has signalled robust growth prospects in long-haul leisure travel, a segment that has shown resilience and expansion potential across India's travel market.
Beyond the demerger, Thomas Cook is prioritising deeper penetration into tier-2 and tier-3 cities, moving beyond its traditional strongholds in metropolitan centres. This geographic diversification strategy reflects the company's confidence in emerging demand for organised travel services across smaller urban markets in India.
The separation is expected to unlock value for both entities by allowing them to pursue distinct business models and capital allocation strategies tailored to their respective markets. Thomas Cook's holiday business and travel operations would operate under separate corporate structures, each optimised for its segment of the leisure and travel industry.
